In the state of Colorado, it is not mandatory for LLC member(s) to have an Operating agreement (CO Rev Stat § 7-80-102). That being said, I cannot stress enough the importance of this document. This by far is the most important document for your LLC, which can save you and the business from any future problem.
Importance of Operating Agreement
As you may know already, an operating agreement acts as a governing document for the LLC. It sets forth the name of the member(s) of the LLC, their duties, how the financial aspect of the business will be handled and in an event of dispute how the problem will be resolved. Having an agreement in place from the first day of your business gives clarity to all of the members and smoothens out the business operation.
A properly executed agreement gives an indicator to the court that the members are following all the formalities and lends credibility to the business. It further adds strength to the corporate veil and acts as a shield for your personal assets.
Below we’ve shared a generic operating agreement which can use for your Colorado LLC. The agreement is available in both PDF & Doc format.
