Are you looking for an Operating Agreement template for your Delaware LLC? If yes, then you have come to the right place. We’ve shared a generic operating agreement which you can use and modify as per your business needs.
So, what is an Operating Agreement?
An Operating Agreement is an internal document which expresses the understanding between the member(s) as to how the business will be governed. It includes details of names of the members, percentage ownership, capital investment, voting rights, and duties and obligations. It can also contain information on transferring or buying out process membership interest and valuation methodology.
In Delaware, this agreement can be oral, implied or in written form. I personally recommend every LLC must have a written agreement in place. As per Delaware state laws, it’s not mandatory to have an operating agreement.
But having an agreement in place safeguards the members from internal conflicts and at the same time protects the members(s) from any liability or losses arising from the business. It also makes sure the business is governed by a set of rules defined by the members and not by the default state LLC rules.
On this page, we have shared a sample operating agreement for your reference. The document can be edited to match the understanding between the member(s).
