Minnesota state shapeIn this article, I will be discussing how you can conduct a business entity search on Minnesota Secretary of State website.

Before we go ahead,  here are a few points you should know:

Records of businesses registered in Minnesota are maintained by the Business Services department of the Secretary of State (SOS). The business records are a matter of public information and hence are available free on the SOS website.

Records pertaining to following business structures are available online:

  1. Assumed Names/DBA
  2. Minnesota Business Corporations
  3. Minnesota Nonprofit Corporations
  4. Foreign Corporations (Business, Nonprofit and Cooperative)
  5. Minnesota and Foreign Limited Liability Companies
  6. Minnesota and Foreign Limited Liability Partnerships
  7. Minnesota and Foreign Limited Partnerships
  8. Minnesota Public Benefit Corporations

How can the business entity search help?

Using the business name search, aspiring business owners can verify the availability of the chosen business name. It can also help in determining the legal standing of the business, whether it is in good standing with the state (or not). Using the search one can also find critical information such as address, the name and contact details of the registered agent etc about any registered business.

By Business Name

Step 1: Open Minnesota  business filings search page (refer the image below).

Step 2: Select ‘Business Name‘ tab and enter the name of the business in the search box.

You can use filters ‘Begin with‘ or ‘Contain‘ to fine-tune your search. You can also look for only Active/Inactive corporations and choose to Exclude/Include prior names.

Step 3: Click on the ‘Search‘ button.

For example, we tried searching for ‘hairdressers‘ as you can see in the below image:

Step 4: On the next page, you can view the list of business names that match the entered string. Additionally, you can view ‘Business Status’, ‘Business Type’ and ‘Name type’ of each listing.

Based on the available information, click on the corresponding business name. If you could not find the concerned business, try searching again with another keyword.

Step 5: Click on the ‘Details‘ link to view more information about the business. You will now see a more detailed page, like this one.

  • At the bottom of the page, you can check the filing and renewal history of the business. To order normal or certified copies of any filed document, simply select the document and click ‘Order Selected Copies‘ button.
  • To file any amendments/renewal, click on ‘Renewals & Amendments‘ button at the top of the page. You would need to create an online account with ‘Business & Liens‘ division to file it.
By Filing number

If you know the filing number of the Business you can use this search option. Go to the corporation records search page and click on ‘File Number’ next to the business name. Similar to ‘Search by Name‘ follow the subsequent steps to conduct the search.

Note: Searching by filing number is accurate as each business is assigned a unique number by the secretary of state.
