Operating Agreement – Why is it so Important?

Every LLC, whether it’s a single member or multi-member should have an Operating Agreement. It is one of the most important piece of document for an LLC. The agreement is primarily drawn between the members(s) (or manager) which outlines their rights, duties, and obligations. It also covers the financial contribution by each member and how are profits and loss distributed.

As per Ohio state laws (O.R.C. 1705.081), drawing an operating agreement between LLC member(s) is not mandatory. However, if there is no written agreement in place then the default provision outlined under Chapter 1705 of the Ohio Revised Code governs the operation and structure of the LLC.


The statutory rules may not be in best interest of the firm. And it’s better to have the agreement made, to prevent any future issues.

A properly written agreement also safeguards the members from any personal liabilities arising due to the business operation.
