Operating Agreement – Is it really important?

While the Oklahoma LLC laws (18 OK Stat § 18-2012.2) do not mandate the requirement of an operating agreement between the LLC member(s). But it’s always a good idea to have one.

Having an agreement can protect the personal assets of the members and at the same time lay down the framework to run the business. It also helps in formalizing things between the member(s) and sets forth the responsibility and expectation from each.

Operating Agreement helps in Upholding Limited Liability

LLC owner(s) do not automatically get the liability protection. The limited liability offered by LLC can be challenged in the process known as ‘piercing the veil‘. It happens in situations when the business is not properly managed or when personal and business affairs are mixed.

That being said, this agreement is the most important document for your business. Be sure you spend enough time to draft it properly. In complex cases (mostly in multi-member LLC), it’s generally recommended to get the agreement drafted by a business attorney.
