If you’re on this page it means either you own an LLC in Rhode Island but have not executed an operating agreement yet. Or you’re planning to register one and are looking for a free operating agreement template.
Whatever the reason be, on this page you can find a free expert drafted operating agreement. You can use it as a base and modify it as per your business needs.
If you’re not aware, what the agreement is about, read the next section:
What is Operating Agreement?
Simply put, its a legal contract between the member(s) highlighting the rules and regulations to run the LLC.
The agreement covers:
1) Name of the members
2) Nature of Business
3) Capital contributions and ownership interest
4) Describes the roles, responsibility, and obligation of the member(s)
5) How decisions would be made
6) Provision to add or remove any member.
As per Rhode Island LLC laws, it’s not mandatory to have an operating agreement (RI Gen L § 7-16-21). But without the agreement, the LLC will be governed by default LLC statutes which may not be in the best interest of the firm. Having an agreement drafted puts control in your hand and at the same time safeguards the members.
