South Dakota Business Entity Search (LLC, Corporation, Partnership)
Searching for a business entity in South Dakota involves a series of steps which any new user may find quite overwhelming.
But don’t worry!
We’ve put together this guide to help you conduct the business entity search successfully.
Business entity records are maintained by the office of the South Dakota Secretary of State. The SOS office is also responsible for business formation, amendments and regulation of businesses in the state.
The information about registered businesses is a matter of public record and can be retrieved online on the SOS website for free.
How can the search help?
Primarily, the search is done to check for business name availability. Aspiring entrepreneurs can use the search functionality to verify if the business name they have chosen is available for registration or not.
Also, the search can help uncover vital information about any competing business.
South Dakota Business Entity Search
Broadly there are two ways to search for a business in the South Dakota business database – by Business Name or by Business ID.
Searching by ID can be quicker, as it will immediately lead you to the exact business entity you’re looking for, but in case you don’t have it, searching by name can be a good alternative.
Note: For checking business name availability, use search by ‘Business Name’ option.
Search by Business Name
First of all, head to the South Dakota SOS website and navigate to the online business search page.
Step 1: Enter your search query in the text box next to the ‘Search Name‘ field.
Step 2: Choose the relevant filter – ‘Starts with’ or ‘Contain’.
Step 3: Tick ‘Active Entities Only’ to view only active businesses.
This can be useful for gathering information that’s up to date and refining your search results further.
Step 4: Click on the ‘Search’ button.
In this example, we searched for a business with the phrase, ‘technology’ in its name. As you can see from the attached screenshots, this gave us over 500 results.
Refining the search query, adding more details or searching for a more exact match by using the ‘Starts with‘ option could have given us more accurate results.
In addition to the business name, you will also see the Business ID, type, name type, filing date and status in the search results.
Step 6: Select the business you’re looking for by clicking on the corresponding business ID.
Step 7: You will be led to the company page where you can see complete details:
- Name and status of the registered company
- Initial filing date
- State it was formed in
- Term of duration
- Location of principal office
- Shares of stock
- Due date for the next annual report
- Mailing address
- Details of the registered agent
For more advanced details such as a history of the uploaded documents and filings, scroll further to the bottom of the company summary page.
If you would like to file the Annual report, download certificate of good standing, file a statement of change or request for certified copies, scroll to the top of the page.
Search by Business ID
Use this option, if you know the business ID allotted by the Secretary of State.
Step 1: Navigate to the South Dakota business services online page (opens in new tab).
Step 2: Enter the ‘Business ID‘ and ensure that all the digits are accurate.
Step 4: On the next page, you’ll be able to view the details of the business entity matching the ID.
Step 5: Click on the hyperlinked ‘Business ID‘ to view complete details about the business.
