What is an Operating Agreement?
An Operating agreement is a legal contract between LLC member(s). The agreement outlines the rights, duties, and obligation of each of the member of the company. It is an internal document which need not be filed anywhere. It records the points agreed upon by the members while forming the LLC.
In Texas, it’s not a legal requirement (Tex. Bus. Org. Code §101.501) to have an operating agreement drafted but it’s always good to have one to avoid any future issues.
