What is an Operating Agreement?

An Operating agreement is a legal contract between LLC member(s). The agreement outlines the rights, duties, and obligation of each of the member of the company. It is an internal document which need not be filed anywhere. It records the points agreed upon by the members while forming the LLC.

In Texas, it’s not a legal requirement (Tex. Bus. Org. Code §101.501) to have an operating agreement drafted but it’s always good to have one to avoid any future issues.

Issues could arise due to a number of reasons such as:

  • When any of the member leaves or dies
  • Any of the member not giving his/her 100% in the work.
  • Financial dispute

Having an agreement also ensures the personal assets of the business are safeguarded in case of business liability. Also, a properly executed agreement can also help member(s) save tax (talk to your CPA about it).

Below we’ve shared a sample agreement which you can download and edit as per your needs. The agreement is available in both fillable PDF and editable Doc format.
