Before that, here are a few points you must know about this agreement:

Why Every LLC owner must execute an Operating Agreement

An operating agreement is a legal contract introduced by the members of the LLC, outlining how the overall business will be governed. It can be either oral, implied or written. But having a written agreement is always recommended as it memorializes the initial agreed terms and conditions.

As per the West Virginia state laws (§31B-1-101), it’s not mandatory for LLC members to draft an operating agreement. But it is highly advisable to incorporate one as soon as you form the LLC.  A properly drafted agreement can save LLC members a lot of time and money later on.

The agreement acts as a rulebook that covers how the business will be governed, roles and responsibility of the members,  capital contribution and distribution of profits.

In situations where any dispute arises between members, it can be resolved peacefully due to provisions in the agreement. Also, while opening a bank account or applying for a loan, most of the institutions would request for this agreement.
