Why Operating Agreement is Important

As per Wyoming state LLC statutes (WY Stat § 17-29-407), drafting an operating agreement is not mandatory for LLC owners. But in our opinion, it is a must for any LLC, especially for Multi-member LLCs.

Like it’s said ‘Failing to plan is planning to fail‘. In a similar way, if this document is not made while forming the LLC, it can leave the business prone to future risk.

Risks could be issues arising from internal disputes between members or possible lawsuits against the business. All these points can be easily addressed in the agreement beforehand. And for this very reason, we encourage every LLC owner to take some time out and execute the agreement.

The document is for internal purpose only and need not be filed with the secretary of state. The document can be printed on any normal paper. The only requirement for the agreement to be legally binding is that it should be signed by all the members.
